Mystery Shopping / On-Site Inspections

Independent Contractors Agreement
- I understand that I am an independent contractor to Customer 1st, not an employee.
- I understand that I will be paid strictly on a services rendered basis.
- I understand that I will be paid on the 15th of the month following the date my
report was received.
- I understand that Customer 1st reserves the right to reject poor quality work
or late reports.
- I understand that I will work my own hours, and am responsible for any expenses
that I incur unless otherwise approved by Customer 1st.
- I understand that I am responsible for my own taxes, both State and Federal,
and that it will not be the responsibility of Customer 1st to withhold said
taxes from payments due to me.
- I understand that Social Security is my responsibility to pay.
- I understand that employee benefits including hospitalization, workmen's
compensation, and pensions are not available to me as and Independent
Contractor.
- I understand that I should NEVER share any completed or incomplete reports with
anyone other than Customer 1st.
- I understand that I should NEVER discuss my findings with anyone else.
- I understand and agree that all records, reports, documents, files, instructions, and all other documents relating to specific assignments and Customer 1st business, which the shopper shall use, prepare, or come in contact with during or as a result of a shopping/inspection assignment shall remain the sole property of Customer 1st.
- In providing services to Customer 1st, I acknowledge that I will have access to or knowledge of information of a confidential nature and fully agree that I will not disclose to any individual or business entity the information concerning Customer 1st clients, methods, trade practices, evaluation results, or any information deemed by Customer 1st to be confidential for the purposes of this agreement.
- I understand that I am responsible for returning any property that I obtain from
Customer 1st such as training materials or equipment.
- I understand that a Mystery Shopper / On-Site Inspector only reports what
occurred at the time they were conducting the report. They do not give opinions
on how a client's business should be run, or compare one client's location with
another.
- I understand that reports must be submitted to Customer 1st the same day they
are completed unless otherwise noted.
- I understand that I am required to conduct the visit on the day I selected. If
I am unable to complete the shop, I need to decline the shop or notify Customer 1st
immediately to cancel the shop.
- I understand that I must be available at any time via both e-mail and telephone should
Customer 1st need to contact me regarding a current or previous assignment.
- I understand that I will be held liable if I intentionally report incorrect
information.
- I understand that as a mystery shopper I will receive e-mails from Customer1st regarding
mystery shopping opportunities, educational opportunities and important information
regarding mystery shopping.

I understand and acknowledge that a breach of any of the conditions of this agreement may mean the immediate termination of this agreement by Customer 1st and that Customer 1st, at its sole discretion, may bring legal action to the fullest extent allowed by the laws of the State of North Carolina.

I acknowledge that Customer 1st may immediately terminate this agreement at any time.
